Client – Freelancer Contract Terms
Effective Date: Date of Contract Acceptance

This Client–Freelancer Contract (“Contract”) is a legally binding agreement solely between the Client and the Freelancer using the InterJob platform.
By sending, accepting, or continuing this Contract, both parties agree to be bound by the terms below.
1. Nature of the Relationship
This Contract is a direct agreement between the Client and the Freelancer.
InterJob is not a party to this Contract and does not act as an employer, agent, partner, or guarantor for either party.
The Freelancer acts as an independent contractor and not as an employee of the Client or InterJob.
2. Contract Type and Scope of Work
This Contract is a fixed price contract.
The scope of work is defined by:
- the job posting
- the freelancer’s proposal
- mutually agreed written communication
The Client may choose to structure the Contract as:
- milestone based, or
- full payment based
Any changes to scope must be mutually agreed upon.
3. Payment Structure and Obligations
3.1 Client Payment Requirement
The Client must pay at least 50% of the contract value after the Freelancer accepts the Contract.
The Client must complete 100% payment before ending the Contract.
InterJob does not allow contract completion unless full payment is made.
3.2 Payment Processing Acknowledgement
All payments are processed through Razorpay and held in escrow via Razorpay Route until the contract is completed.
When the client confirms contract completion, escrowed funds are released directly to the freelancer's registered bank account (typically within 1-2 business days). A tiered platform commission and applicable GST are deducted at the time of payment.
Banking requirements:
- Completed KYC verification
- Activated Razorpay linked account with verified banking details
- Compliance with platform policies
4. Work Delivery and Watermark Policy
Until full payment is completed:
- The Freelancer must deliver work with reasonable watermarks or access restrictions
- Final usable files may be delivered only after full payment
If the Client fails to pay the remaining amount:
- The Client account may be terminated
- The Freelancer will not receive the remaining unpaid amount
- InterJob shall not be liable for unpaid balances
5. Work Completion and Contract End
A Contract is considered completed only when the Client ends the Contract after making 100% payment.
Ending the Contract by the Client confirms:
- work has been delivered
- the Client is satisfied
- payment obligations are fulfilled
After Client completion, the Freelancer may then end the Contract.
6. Contract Termination Rules (Strict)
6.1 No Mid Contract Termination by Users
InterJob does not allow Clients or Freelancers to terminate an active Contract in the middle through the platform.
6.2 Termination via InterJob Review Only
If termination is required before completion:
- The Client must email support@interjob.in
- InterJob will coordinate with both parties
- InterJob will conduct a full case review
Based on this review:
- InterJob may approve or reject termination
- Refunds or payouts, if any, are decided solely by InterJob
6.3 No Payment Scenario
- InterJob will not interfere
- Client and Freelancer may mutually ignore the Contract
7. Refund Authority and Decision Making
In any payment, contract, or refund related issue:
- InterJob reserves the right to study the case
- review communication, work status, and behavior
- make a final decision on refund or payout
InterJob’s decision shall be final and binding.
8. Revisions Policy
Revisions are based on mutual understanding between Client and Freelancer.
- No additional payment is required for revisions unless mutually agreed
- Unlimited revisions are not guaranteed
- Abuse of revision requests may lead to InterJob intervention
9. Communication Rules
Official communication should occur through InterJob.
Deliverables may be shared outside the platform if required, but:
- InterJob is not responsible for external communications
- Platform records will be used for dispute review
10. Confidentiality and Reviews
The Freelancer must:
- respect Client privacy
- protect confidential and sensitive Client information
The Freelancer may leave reviews about the Client, including negative feedback, but:
- must not disclose sensitive, personal, or confidential data
- must comply with platform review policies
11. Intellectual Property Ownership
Upon full payment:
- all intellectual property rights in the delivered work transfer to the Client
Until full payment:
- ownership remains with the Freelancer
12. Platform Authority
Both parties acknowledge and agree that InterJob may:
- review chats, files, and communication
- override Client or Freelancer decisions
- decide payment outcomes
- enforce platform rules
13. Liability and Responsibility
Freelancer Responsibility
The Freelancer is responsible for:
- legal compliance of delivered work
- originality and copyright compliance
The Freelancer is not responsible for damages caused by Client misuse.
Client Responsibility
The Client is responsible for:
- use of delivered work
- legal compliance after delivery
14. Taxes
Each party is responsible for their own taxes.
InterJob does not issue invoices on behalf of Clients or Freelancers.
15. Beta Platform Acknowledgement
The platform is in beta stage.
Users acknowledge:
- workflows may change
- delays or issues may occur
- usage is at their own risk
InterJob bears no liability for beta related issues.
16. Limitation of Liability
InterJob shall not be liable for:
- service quality
- payment disputes between users
- indirect or consequential damages
InterJob’s liability is governed solely by its Terms and Conditions.
17. Governing Law and Dispute Resolution
This Contract shall be governed by the laws of India.
Disputes shall be resolved by:
- arbitration first
- courts located in Bhusawal, Maharashtra, if unresolved
18. Acceptance
By clicking “Send Contract” or “Accept Contract”, both parties confirm that they:
- have read and understood this Contract
- agree to be legally bound
- acknowledge InterJob’s authority and limitations
